made the Twenty Sixth day of April

One thousand nine hundred and twenty nine

between THE HONGKONG AND SHANGHAI BANKING CORPORATION whose--

Head Office is situate at Victoria in the Colony of Hong Kong

(hereinafter called the "Corporation") of the one part and

OUR Sovereign Lord King GEORGE THE FIFTH by the Grace of God

of Great Britain and Ireland and of the British Dominions

beyond the sea King Defender of the Faith Emperor of India

of the other part WHEREAS an Ordinance is about to be

introduced into the Legislative Council of the Colony of

Hong Kong to amend the constitution of the Hongkong and

Shanghai Banking Corporation NOW THIS INDENTURE WITNESSETH

that in the event of such Ordinance being duly passed by

His Excellency The Governor of Hong Kong by the advice and

with the consent of the Legislative Council of Hong Kong

the Corporation undertakes that no amalgamation scheme with

any Banking Institution including the purchase of shares or

any joint working or profit sharing arrangement to which it

may be a party will be carried out without the prior approval

of the Lords Commissioners of His Majesty's Treasury and the

Board of Trade IN WITNESS whereof the Hongkong and Shanghai

Banking Corporation have caused their Common Seal to be

hereunto duly affixed the day and year first above written.
